Process Pursued

In a November 2010 article in Xconomy, George T. Huang interviewed Matt Olton, Vice President of Corporate Development at EMC. Mr. Olton outlined five points EMC follows as its merger and acquisition strategy. The points are as follows:

1. A core strategy that works. It doesn't have to be the best strategy in the world, so long as it can be executed.

2. Evaluation discipline. This means having the patience to pursue fewer transactions.

3. Execution discipline. It's important to tackle the business objectives of any merger with "a real sense of focus," he says. This has to do with the integration of the merged company, and making sure to follow through on why the acquisition was made in the first place.

4. Talent retention. Holding on to key leaders, who usually exit a merged company as soon as they can, is an art.

5. A strong sense of accountability. This seems obvious, but there needs to be a clear set of metrics to evaluate the performance of any merger (Huang 1-2).

EMC's merger and acquisition strategies, as discussed during the interview with Huang and Olton, exemplify the process by which companies can become successful through the conjunction of the five points. The companies are obligated to file substantial reporting requirement to the Security and Exchange Commission.

The solicitation and the offer to buy shares of Isilon common stock were made pursuant to acquire all of the outstanding shares of Company Common Stock, at a price of $33.85 per Company Share in cash. At the commencement of the process, EMC and Purchaser filed with the U.S. Securities and Exchange Commission an official tender offer statement containing an offer to purchase, forms of letters of transmittal and other documents relating to the offer.
